Andora Terms of Service
On this page
Effective October 27, 2026 for new users and November 26, 2026 for existing users.
Andora is a brand of Rove Ventures Inc. These Terms of Service are the contract between you and us for using Andora.
PLEASE READ SECTION 17 CAREFULLY. IT REQUIRES YOU AND US TO RESOLVE MOST DISPUTES BY BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT, AND IT WAIVES CLASS ACTIONS AND JURY TRIALS, UNLESS YOU OPT OUT WITHIN 30 DAYS AS THAT SECTION EXPLAINS.
1. About These Terms
1.1 Who they're for. These Terms apply to Hosts, their Team Members and anyone else who creates an Account on Andora or accepts these Terms. Guests aren't parties to them: a Guest's stay is governed by the Channel's terms and the Host's own terms.
1.2 Accepting them. You accept these Terms when, by checking a box next to a link to them, you create an Account on Andora, accept an invitation to an Organization, or click or tap to agree. If you don't agree, don't use Andora.
1.3 Existing hosts. If you used our host tools before October 27, 2026, the host sections of the Rove Travel Terms of Service you agreed to (rovetravel.com/s/terms-of-service-2026-08-07) keep applying to you until November 26, 2026. From then, these Terms, and the Rove Travel Host Terms if you list on Rove Travel, replace them by notice, without your having to accept again.
1.4 What forms part of these Terms. Listing on Rove Travel is optional. If you list there, the Rove Travel Host Terms are part of these Terms for you. They control on hosting on Rove Travel and on Rove Travel bookings, and these Terms control on everything else, but Sections 14 to 22 control over the Rove Travel Host Terms. The Andora Privacy Policy and our subprocessor list describe how we handle personal information and who helps us do it; they aren't part of these Terms.
2. Definitions
In these Terms:
- We, us and our: Rove Ventures Inc., a Delaware corporation, which provides both Andora and Rove Travel. Where these Terms say that Andora or Rove Travel does something, they mean Rove Ventures Inc. acting under that brand.
- Andora: our property management software and related services for Hosts and their teams, at andora.ai and in our apps.
- Rove Travel: our vacation rental marketplace at rovetravel.com, where Guests find and book stays.
- Services: the websites, apps, software and other services we provide under the brand of these Terms: in the Andora Terms of Service, Andora, including hosting on Rove Travel; in the Rove Travel Terms of Service, Rove Travel for Guests and visitors.
- These Terms: the Andora Terms of Service or the Rove Travel Terms of Service, whichever contains this definition, with the documents it incorporates.
- Account: the account you use to sign in to Andora, Rove Travel or both.
- User: anyone who has an Account or has accepted these Terms. Someone who only browses our websites, or a Guest who books only through another Channel and hasn't accepted these Terms, isn't a User.
- You and your: the User bound by these Terms. If you act for a business, you confirm that you can bind it, and "you" includes it.
- Host: a person or business that offers a property for stays, including a property manager acting for someone else.
- Guest: a person who books, stays at or asks about a stay at a Host's property, through Rove Travel or another Channel.
- Channel: Rove Travel or any other website or app where a Host's property can be booked.
- Reservation: a confirmed booking of a stay at a Host's property through a Channel.
- Rove Travel booking: a Reservation made on Rove Travel, for which we take the Guest's payment as merchant of record.
- Claim and Pre-Dispute Notice: as defined in the Dispute Resolution; Arbitration; Class-Action Waiver section.
- Including: means including without limitation.
Also in these Terms:
- Booking Pass: our pre-arrival check-in process. Depending on the listing, it may include identity verification, a guest screening, a rental agreement, a deposit or card hold, and optional add-ons. It may be used for Reservations made on Rove Travel or on other Channels (Section 7).
- Guest Data: personal information about Guests that you or your Channels bring into Andora, or that we receive or create for you. It doesn't include Booking Pass screening information, which we handle as our own (Section 12.2), or information about Guests of Rove Travel bookings, which Rove Travel handles as its own under the Rove Travel Privacy Policy.
- Organization: the workspace in Andora where a Host runs its properties.
- OTA booking: a Reservation made through a Channel other than Rove Travel.
- Team Member: a person a Host gives access to its Organization, including its admins.
- Your Content: anything you or your Team Members put into Andora or send through it, such as listing content, photos, messages, settings and instructions.
3. Accounts and Teams
3.1 Eligibility. You must be at least 18, able to form a binding contract, and live in the United States or, for a business, be organized there. Andora is only for properties in the United States. You confirm that you aren't on, or owned or controlled by anyone on, a U.S. sanctions list.
3.2 Organizations and admins. A Host runs its properties in an Organization. If you set one up for a business, that business is the Host, and you confirm that you can bind it. Each Organization has one or more admins, who manage it for the Host, including who has access and what each Team Member can do.
3.3 Your team. Each Team Member signs in with their own Account and must accept these Terms. Team Members use Andora only for the Host, and the Host's properties, content and Guest Data stay the Host's. The Host is responsible for its Team Members, and for vendors and others it engages, as if what they do were its own. Team Members act for the Host: the payment and payout obligations in Section 8 and the indemnity in Section 14.3 are the Host's, not its Team Members' personally. Give each person only the access they need, and remove it when they no longer need it.
3.4 Account security. Keep your sign-in details and access tokens confidential, and don't share your Account; invite people as Team Members instead. Anyone who has an access token can use it, so revoke any token you think is exposed. You're responsible for what happens under your Account. Tell us at support@andora.ai right away if you think it has been misused. We may disable sign-in details or tokens to protect the Services or anyone else.
3.5 Messages from us. We may send you messages about your Account, Reservations, payouts, security and the Services by email, text, phone, or in-app or push notification, including with automated technology. Message and data rates may apply. Reply STOP to stop texts. We send marketing texts or make marketing calls only with your separate consent, which isn't a condition of using Andora.
4. The Services
4.1 What they include. The Services include Andora's software for running vacation rentals, such as listings, calendars, Reservations, pricing, Guest messaging, AI features, Booking Pass, payouts, team access, and connections to Channels and other tools, on our websites, in our apps and through connectors. Examples aren't a complete list, and these Terms cover the Services as we rename, add or change them.
4.2 Andora is free. We don't charge you to use Andora unless you have a plan agreement with us. When we process a Guest's payment for you, payment processing costs are deducted as shown in Andora (Section 8). If we offer a paid feature, we'll show you its price and terms first, and we won't charge you unless you choose it.
4.3 Changes. We may add, change or remove features at any time. Before we remove a feature you use or materially reduce the Services, we'll give you at least 30 days' notice, unless we need to act sooner for security or legal reasons, or because a Channel or other provider changes or ends what it offers us.
4.4 No service level. We don't commit to any level of availability, performance, sync timing or support. Parts of the Services may be unavailable at times, including for maintenance.
4.5 Beta features. Beta and experimental features are provided as is and may change or end without notice.
5. Third-Party Services
Channels, payment providers, connectors and other services you connect, including outside AI tools you connect through our MCP connector or API, are run by others under their own terms. You keep your own account with each and must follow its terms. When you connect one, you authorize us to exchange data with it and to act in it as your settings and instructions direct. What it does with data you send it is governed by its provider's terms and privacy policy. We don't control these services and aren't responsible for them, including if one changes its rules, stops a connection or suspends your account. A connection can fail, so check your listings, calendars and prices on each Channel. If you get our app from an app store, that store's terms also apply.
6. AI
Some features use AI, including agents that act on your settings and instructions. AI can be wrong: review what it produces. AI agents can write and send messages to Guests in your name. How they introduce themselves is set in Andora, by you where Andora lets you or otherwise by us, and they will always say they're automated if a Guest asks. You're responsible for what's sent or done from your Account, including by AI agents.
7. Booking Pass
7.1 Who runs it. Booking Pass is set up and reviewed by you, or by us on your behalf, as your listing requires. When we run it, we act for you and follow your instructions. You authorize us to approve or reject a Guest's Booking Pass for you, using our reasonable discretion and a holistic, individualized assessment of relevant booking and Guest risk factors. You don't have to set screening criteria, and our reviews must comply with applicable fair housing and nondiscrimination laws. Make sure your Booking Pass requirements, such as deposits, card holds and rental agreements, follow each Channel's rules and are shown to Guests when the Channel and the law require. We're responsible for the requirements we set and the process we run. For Rove Travel bookings, Rove Travel's terms also apply. Sections 7.2 and 7.3 apply to every Booking Pass.
7.2 Verification and screening. Through Booking Pass, we may verify a Guest's identity and screen the booking, ourselves or through providers. Results can be wrong, and we don't guarantee anyone's identity or conduct.
7.3 Using results. For each Reservation, you receive the Booking Pass outcome and, if you ask, a summary, whose details may vary. Keep them confidential, use them only to decide on and manage that Reservation, share them only with people who need them for it or as the law requires, and delete them when you no longer need them. Never use them to treat a Guest differently because of a characteristic protected by law. [[CONFIRM: any notice a Host must give a Guest declined because of a Booking Pass result, under the FCRA position]]
7.4 Your decision. Whether to accept, decline or cancel a stay is your decision, except where we run Booking Pass for you and approve or reject it. Your decision must comply with the law and the Channel's terms. Rove Travel may also cancel a Rove Travel booking whose Booking Pass isn't completed or approved.
8. Payments and Payouts
8.1 Payouts through Stripe. We pay you through Stripe. To receive payouts, you must accept the Stripe Connected Account Agreement (stripe.com/connect-account/legal/full), which is a contract between you and Stripe, and keep your Stripe account in good standing. We and Stripe may verify you and your business, and may hold payouts until you give us the information we ask for.
8.2 Collecting Guest payments for you. You appoint us as your limited payment collection agent to receive Guest payments for your OTA bookings on your behalf. A Guest's successful payment to us satisfies the Guest's corresponding payment obligation to you, and we pay it to you less the amounts in Section 8.3. Payments are processed through third-party payment service providers. We don't sell the stay, we aren't a party to your contract with the Guest, and we aren't a bank or trustee or pay interest on amounts we hold for you.
Where you are the Host, we collect any paid security deposit from the Guest and forward it to you. Once received, you hold and administer the deposit and are responsible for complying with all applicable requirements, including lawful handling, permitted deductions, itemized statements and supporting documentation, required notices, and refunds within legally required deadlines. Transfer of the deposit doesn't extend those deadlines. We remain responsible for any legal obligations that apply to our own collection, handling or transfer of funds.
You're responsible for making sure any charge, deposit or card hold you ask us to take is allowed by your rental agreement, the Channel's terms and the law. Booking Pass may also offer Guests optional add-ons and a damage waiver, which we sell; any share owed to you is shown in Andora.
8.3 Deductions. Payment processing costs, and other amounts we may deduct or recover, such as refunds, chargebacks, taxes we must withhold and negative balances, are shown in Andora, each with its reason, when we take them. We may deduct them from your payouts, set them off against other amounts we owe you, or ask you to pay them. If a Guest disputes a payment we collected for you, we decide how to respond, you give us the evidence we ask for, and you bear any amount decided in the Guest's favor and its dispute fees, except to the extent our gross negligence caused the dispute.
8.4 Rove Travel bookings. For Rove Travel bookings, Rove Travel is the merchant of record, and the Rove Travel Host Terms say what you're owed and which costs you bear. We pay what you're owed under this Section 8.
8.5 Timing and holds. Payout timing is shown in Andora or available from support@andora.ai. For cancelled Reservations, Guest payments received after check-in, payouts held for a refund, chargeback or claim, and other cases outside the normal schedule, we pay out as soon as commercially reasonable. We pay out only what we've received, and we may hold the amount at risk from a payout while a refund, chargeback, claim, verification or legal requirement is pending, or if we reasonably suspect fraud. We'll tell you why, and release the hold once the matter is resolved. If you manage properties for others, you receive the payouts for them and are responsible for paying their owners.
8.6 Taxes. You're responsible for taxes on your Reservations and your income, except taxes that a Channel, or Rove Travel for Rove Travel bookings, collects and remits. Where the law requires us to collect, remit or withhold a tax, we may deduct it from your payouts. Where applicable, we collect any tax due on add-ons we sell through Booking Pass. Give us accurate tax information when we ask; we issue tax forms where the law requires.
9. Your Properties, Your Guests and the Law
9.1 Your right to host. For each property you manage in Andora, you confirm that you have the right to offer it for stays, or written authorization from the person who does, and every approval you need, such as a landlord's or HOA's. We may ask you for proof.
9.2 Your business. You're an independent business, not our employee, agent or partner, and we don't control how you host. Your contract with each Guest is made under the Channel's terms and your own terms, and we aren't a party to it. House rules, rental agreements and other terms you ask Guests to accept are yours: they must be consistent with your listing, the Channel's terms and the law, and can't add charges a Guest wasn't shown before booking.
9.3 Following the law. You're responsible for following the laws that apply to your properties and hosting, including short-term rental registration and permits, taxes, safety, fair housing, and privacy and messaging laws. We don't monitor your compliance.
9.4 Messaging Guests. Message Guests through Andora, rather than using contact details from Andora in other tools. Andora delivers your messages and handles notifications based on each Guest's preferences. Use a Guest's contact details only for their Reservation and stay, and don't send Guests marketing.
10. Using Andora Responsibly
Don't use Andora, or let anyone use it through your Account, to:
- break the law, or commit or help with fraud, such as fake listings or Reservations or unauthorized payments;
- harass, threaten or abuse anyone, or send spam;
- discriminate against anyone because of a characteristic protected by law;
- use Booking Pass results in any way Section 7 doesn't allow;
- deceive people with AI, such as by having AI agents mislead Guests or impersonate someone else;
- probe, attack, overload or get around the security or limits of the Services, access another User's data, scrape, copy or reverse engineer the Services except through tools we provide or where the law allows, or use them to build a competing product; or
- publish content that's inaccurate, illegal or infringing, or that you don't have the rights to use.
We may review activity and content in Andora to run and protect the Services and enforce these Terms, but we don't have to. We may warn you, remove content, stop a message, limit or pause features, revoke access, or suspend or close Accounts or Organizations. Don't use another Account to get around an action we take. To report misuse, email support@andora.ai; if anyone is in immediate danger, contact emergency services first.
11. Content and Intellectual Property
11.1 Your Content. You keep ownership of Your Content. You give us a non-exclusive, worldwide, royalty-free license, which we may sublicense to our service providers and to the Channels and services you connect, to host, copy, process, adapt, publish and display Your Content as needed to run the Services, including publishing your listings on your Channels. The license ends when you delete Your Content or your Account closes, except for copies we keep as the law requires, for disputes or in backups, and for content already published on a Channel. You confirm that you have the rights needed to grant this license and that Your Content doesn't infringe anyone's rights. You're responsible for Your Content.
11.2 Rove Travel marketing. If you list on Rove Travel, the Rove Travel Host Terms let Rove Travel use your listing content, including photos, in its marketing.
11.3 Professional photos. If we arrange professional photos of your property, we own or control and manage them, and they appear only on Rove Travel. When you leave Andora, your access to them ends and we remove them, unless you buy them from us.
11.4 Our intellectual property. The Services, and our names and logos, belong to us or our licensors. Subject to these Terms, we give you a limited, non-exclusive, non-transferable and revocable right to use the Services to run your properties or those of the Host you work for. We reserve all other rights. Don't use our names or logos without our written permission.
11.5 Feedback. We may use any feedback or suggestions you give us without any obligation to you.
11.6 Copyright notices. In appropriate circumstances, we close the Accounts of repeat infringers. Send notices of claimed copyright infringement to our Designated Agent: Rove Ventures Inc., Attn: DMCA Designated Agent, 169 Madison Ave, #2028, New York, NY 10016; support@rovetravel.com; +1 (877) 510-7683.
12. Data
12.1 Guest Data is yours. As between you and us, Guest Data belongs to you. We process it for you, on your instructions as set by these Terms and the way you use the Services, to provide, secure, support and improve the Services and to comply with the law. We don't sell it, use it for advertising or use it to market to your Guests. Booking Pass may offer Guests the choice to receive Rove Travel offers. Information from Guests who opt in is ours to use under the Andora Privacy Policy, and those offers never promote your own properties. We may also create de-identified or aggregated data from Guest Data and use it for any purpose, including to improve the Services. We won't try to re-identify it.
12.2 Our own information. We handle information about you and your Team Members, Booking Pass screening information for OTA bookings, and information from Guests who choose in Booking Pass to receive Rove Travel offers, as our own, as the Andora Privacy Policy describes. Our subprocessor list names the service providers who process information for us. You can see the details of Guests of your Rove Travel bookings in Andora to host their stays; use them only for that.
12.3 Your responsibilities. You confirm that you have the right to bring Guest Data into Andora and to send it to the services you connect, and you're responsible for any notice or consent the law requires from you. We'll reasonably help you respond to Guests' requests about Guest Data we hold for you.
12.4 Processor terms. Where a state privacy law treats us as your service provider or processor, we process Guest Data only for the purposes in Section 12.1; don't sell or share it, or retain, use or disclose it outside our relationship with you, or combine it with other personal information, except as that law allows; keep it confidential; bind our subprocessors to similar terms, and give you at least 15 days' notice by email before a new subprocessor starts processing Guest Data, so you can object (if we can't resolve your objection, you may close your Account); give you the information you reasonably need to show that we meet that law, and cooperate with reasonable assessments; when our services to you end, delete Guest Data, or return it if you ask and the law requires, unless the law requires us to keep it or we need it to resolve disputes or prevent fraud; and tell you if we can no longer meet that law's requirements. If you need a signed data processing agreement, ask us at support@andora.ai.
12.5 Security. We use administrative, technical and physical safeguards suited to the information, but no system is perfectly secure. We'll tell you about a security breach affecting your Guest Data as the law requires.
12.6 Export and closing. Andora has no self-serve export. You can ask us for a copy of your data at support@andora.ai, and keep your own copies of anything you need. After your Account or Organization closes, we keep and delete its data as the Andora Privacy Policy describes.
13. Suspension and Termination
13.1 Leaving. You may stop using Andora at any time, and close your Account by contacting support@andora.ai. If you have confirmed Rove Travel bookings, your Account stays open until they end.
13.2 Our rights. We may suspend or limit your access, or close your Account or Organization, if you break these Terms or the law, if we reasonably believe it's needed to protect Guests, Users, us or anyone else, or if the law, a Channel or a payment provider requires it. We may also end these Terms for you for any other reason with at least 30 days' notice.
13.3 What happens next. When your access ends, we stop syncing with your Channels and other connected services; your listings and Reservations on each Channel stay with that Channel. You remain responsible for confirmed Reservations and amounts you owe. Your access stays open for confirmed Rove Travel bookings until they end, and we may keep limited access open to settle payouts, refunds and chargebacks. Even then, we may block a User or access token that's compromised or used abusively, keeping only the access needed to host those bookings.
13.4 What survives. Provisions that by their nature should survive do, including Sections 2, 3.3, 8, 9, 11, 12, 13 and 14, and Sections 15 (Entity and Notices), 16 (One Account Across Andora and Rove Travel), 17 (Dispute Resolution; Arbitration; Class-Action Waiver), 18 (Governing Law; Venue), 19 (Time to File Claims), 20 (Changes to These Terms), 21 (Severability; Waiver) and 22 (Entire Agreement; Assignment).
14. Disclaimers, Liability and Indemnity
14.1 Disclaimer. THE SERVICES, INCLUDING AI OUTPUT, BOOKING PASS RESULTS AND CHANNEL SYNCS, ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WE DON'T WARRANT THAT THE SERVICES WILL BE ACCURATE, SECURE, UNINTERRUPTED OR ERROR-FREE. Information in the Services, including AI output, isn't legal, tax or other professional advice.
14.2 Limitation of liability. TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER WE NOR OUR AFFILIATES, SERVICE PROVIDERS OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BOOKINGS, DATA OR GOODWILL, ARISING OUT OF THESE TERMS OR THE SERVICES, WHATEVER THE LEGAL THEORY AND EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR AND OUR AFFILIATES' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICES, FOR EACH ORGANIZATION AND ALL ITS USERS TOGETHER, WILL NOT EXCEED US$1,000. These limits don't apply to payouts we owe you, or to liability the law doesn't allow us to limit, such as for our fraud, gross negligence or willful misconduct, or for death or personal injury caused by our negligence. We aren't liable for delays or failures caused by events outside our reasonable control.
14.3 Indemnity. You will defend, indemnify and hold harmless Rove Ventures Inc., its affiliates, and their directors, officers, employees and agents against third-party claims, and the resulting losses, costs and reasonable legal fees, arising from: your properties, listings, Reservations and hosting; Your Content, and anything sent or done from your Account, including by Team Members and by AI agents acting within settings you chose; decisions about Guests that you make; services you connect; and your breach of these Terms or the law. This doesn't apply to the extent a claim is caused by our breach of these Terms, a defect in the Services, an AI agent acting outside your settings, our failure to protect the Services, or our gross negligence, willful misconduct or fraud, or where the law doesn't allow it. We may take control of the defense, and you may not settle a claim in a way that puts an obligation on us without our consent.
15. Entity and Notices
Who we are. Andora and Rove Travel are brands of Rove Ventures Inc., a Delaware corporation. Whichever brand you use, your agreement is with Rove Ventures Inc.
How to reach us. Our postal address is Rove Ventures Inc., 169 Madison Ave, #2028, New York, NY 10016. The email address in the Contact Us section of these Terms handles both support and legal notices.
Notices to us. Send any notice to us, including a Pre-Dispute Notice or an arbitration opt-out, by email to that address. A notice sent to the support address of either brand reaches us for both brands.
Notices to you. We may send you notices electronically, including by email to the address on your Account, in the Services, or by posting them on our websites. A notice is received when sent or posted, unless it's returned as undeliverable. Electronic notices meet any legal requirement that a notice be in writing, except where the law requires your separate consent to receive a document electronically. Keep your contact details up to date.
California users. If you're a California user, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
16. One Account Across Andora and Rove Travel
One Account. Andora and Rove Travel share one account system. Your Account signs you in to both, and we may sign you in on one site when you arrive from the other. Your duty to keep your Account secure covers both.
Which terms apply. The Andora Terms of Service govern your use of Andora, including hosting on Rove Travel, where the Rove Travel Host Terms add their own rules. The Rove Travel Terms of Service govern your use of Rove Travel as a Guest or visitor. If you use both, each applies to its own brand. Host tools are part of Andora, whatever name or app they appear under.
Arbitration opt-outs. An arbitration opt-out, or a rejection of a change to the arbitration terms, sent under either brand's terms also applies under the other brand's terms, including if you accept them later. Under the other brand's terms, it covers only Claims that arise after we receive it, unless you also sent it within your opt-out window under those terms.
Closing or suspending your Account. Closing your Account closes it for both brands. If we suspend or end your Account under either brand's terms, that applies on both brands. Closing your Account doesn't cancel confirmed Reservations or end what either of us already owes.
17. Dispute Resolution; Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND US TO RESOLVE MOST DISPUTES BY BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT, AND IT WAIVES CLASS ACTIONS AND JURY TRIALS. YOU MAY OPT OUT AS PARAGRAPH (h) EXPLAINS.
(a) Scope. This section applies to any dispute or claim between you and us that arises out of or relates to these Terms, your Account or the Services, whatever the legal theory (a "Claim"). It applies to you once you're bound by these Terms, whether you accepted them when you signed up or kept using the Services after we notified you of them, but not to someone who only browses our websites. A Claim that arose before this version of this section applied to you is resolved under the dispute terms that applied when it arose.
(b) Pre-Dispute Notice. Before starting an arbitration or a court case, the party with a Claim must send the other a written notice, signed by the party or its lawyer, that gives the party's name, contact details and Account email (if any), describes the Claim and states the relief sought (a "Pre-Dispute Notice"). The parties will then try in good faith to resolve the Claim for 60 days. Send a Pre-Dispute Notice to us as the Entity and Notices section explains; we will send ours to the email address on your Account. Time limits on the Claim, including the one in the Time to File Claims section, are paused from when a complete notice is sent until 30 days after the 60-day period ends. An arbitrator or court may dismiss a Claim filed without this notice. This notice isn't needed before a small-claims case or a request for temporary relief under paragraph (d).
(c) Arbitration. Except as paragraph (d) provides, all Claims will be resolved by binding individual arbitration before a single arbitrator, administered by the American Arbitration Association ("AAA") under its rules in effect when the arbitration starts. The AAA's Consumer Arbitration Rules apply to Claims involving an individual who uses the Services mainly for personal, family or household purposes, such as a Guest booking a stay. Its Commercial Arbitration Rules apply to all other Claims, including Claims about offering or hosting a property. If the AAA can't or won't administer the arbitration, a court may appoint another administrator. The arbitrator may award any individual relief a court could, subject to these Terms. Hearings may be held by phone or video; any in-person hearing will be held in the U.S. county where you live or have your principal place of business, or otherwise in New York County, New York. Fees are paid as the AAA's rules provide, but if the arbitrator finds that arbitration fees would be prohibitive for you compared with court costs, we will pay as much of them as the arbitrator finds necessary. The arbitrator decides any dispute about whether this arbitration agreement is valid, enforceable or applies to a Claim, except that a court decides whether a Claim falls under paragraph (d) and whether paragraphs (e) and (f) are enforceable.
(d) Exceptions. Either party may bring an individual Claim in small-claims court if it qualifies. Either party may ask a court for temporary relief to preserve the status quo until an arbitrator decides. A Claim that the law lets a person bring in court despite an arbitration agreement, such as a sexual assault or sexual harassment claim, may go to court if that person chooses.
(e) Class-action waiver. YOU AND WE MAY BRING CLAIMS ONLY INDIVIDUALLY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. AN ARBITRATOR MAY NOT COMBINE MORE THAN ONE PERSON'S CLAIMS AND MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING IT.
(f) Mass arbitration. If 25 or more similar demands for arbitration are filed against us by or with the help of the same or coordinated lawyers, the AAA's Mass Arbitration Supplementary Rules and fee schedule apply.
(g) Jury trial waiver. TO THE EXTENT THE LAW ALLOWS, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.
(h) Opt-out. You may opt out of paragraphs (c), (e), (f) and (g) by emailing us as the Entity and Notices section explains, with the subject "Arbitration Opt-Out", your name, your Account email and a clear statement that you opt out. Send it within 30 days after you first accept these Terms or, if these Terms apply to you because we gave you notice of them, within 30 days after they take effect for you. If you opted out of arbitration under earlier terms of either brand, that opt-out still applies, and you don't need to send it again. If we make a material change to this section, you may reject the change the same way within 30 days after it takes effect; the earlier version then keeps applying to you until you expressly accept a later one. Opting out doesn't affect the rest of these Terms. The One Account Across Andora and Rove Travel section explains how an opt-out applies to the other brand.
(i) Survival; severability. This section survives the end of these Terms and the closing of your Account. If a court finds part of this section unenforceable for a Claim or a remedy, such as public injunctive relief, only that Claim or remedy goes to court, after the arbitration of everything else ends, and the rest of this section still applies. A Claim for which paragraph (e) is unenforceable may be brought only in court, never in a class arbitration.
18. Governing Law; Venue
New York law governs these Terms and any Claim, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs the Dispute Resolution; Arbitration; Class-Action Waiver section. A Claim that proceeds in court instead of arbitration, other than in small-claims court, must be brought in the state or federal courts in New York County, New York, and you and we consent to those courts' jurisdiction and venue.
19. Time to File Claims
TO THE EXTENT THE LAW ALLOWS, ANY CLAIM, WHETHER YOURS OR OURS, MUST BE FILED WITHIN ONE YEAR AFTER IT ARISES OR, FOR A CLAIM INVOLVING AN INDIVIDUAL WHO USES THE SERVICES MAINLY FOR PERSONAL, FAMILY OR HOUSEHOLD PURPOSES, WITHIN TWO YEARS, OR IT IS PERMANENTLY BARRED. This limit doesn't apply to Claims for personal injury, fraud or willful misconduct, to Claims that paragraph (d) of the Dispute Resolution; Arbitration; Class-Action Waiver section lets a party take to court, or where the law requires a longer period.
20. Changes to These Terms
We may change these Terms. Each version shows its effective date, and we keep earlier versions archived.
Notice of changes. We will tell you about a material change at least 30 days before it takes effect, by email and in the Services or on our website, unless a legal requirement or a security, fraud or abuse risk needs it to take effect sooner. Other changes take effect when we post them. If you keep using the Services after a change takes effect, the changed Terms apply to you. If you don't agree, stop using the Services; you may also close your Account.
Earlier Claims and Reservations. A change doesn't apply to a Claim that arose before it took effect. Nor does it change the price, fees, or cancellation and refund terms of a Reservation made before then: the terms it was booked under still apply.
Dispute terms. The Dispute Resolution; Arbitration; Class-Action Waiver section explains how changes to it apply and how to reject them.
Privacy policies. Our privacy policies describe how we handle personal information. They're notices, not part of these Terms, and they change as they explain.
21. Severability; Waiver
If any part of these Terms is found unenforceable, it will be limited or removed only as much as needed, and the rest of these Terms stays in effect. The Dispute Resolution; Arbitration; Class-Action Waiver section has its own rule. If we don't enforce a right or a part of these Terms, we haven't waived it.
22. Entire Agreement; Assignment
These Terms, with the documents they incorporate (each listed by name and link in these Terms), are the entire agreement between you and us about the Services and replace any earlier agreement about them, but only from the date they apply to you. Earlier terms, including the other brand's terms on the same subject, still govern what happened before then, including the obligations they say survive. If you have a separate signed agreement with us, such as a Rove+ agreement or another plan agreement (a "plan agreement"), it controls over these Terms where they conflict, including on fees, pricing, exclusivity and damage protection. The Dispute Resolution; Arbitration; Class-Action Waiver section of these Terms applies unless that agreement has its own. If these Terms and a document they incorporate conflict, the order of precedence in these Terms decides. No one other than you, us, our affiliates and the people these Terms protect, such as in their indemnity and liability limits, has rights under these Terms. You and we are independent: these Terms don't create a partnership, employment or agency relationship, except where they say we act for you. You may not assign these Terms without our consent. We may assign them, in whole or in part, to an affiliate or as part of a merger, acquisition, sale of assets or reorganization.
